Terms of Service

1. Agreement to Terms

By accessing or using NestEazy, including our mobile applications, website, and any related services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform. These Terms constitute a legally binding agreement between you and NestEazy Inc. (“NestEazy,” “we,” “us,” or “our”), a company incorporated in the Province of New Brunswick, Canada. Your continued access or use of the Platform after any changes to these Terms constitutes acceptance of those changes.

2. Eligibility

You must be at least 18 years of age to create an account and use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old, are legally capable of entering into binding agreements, and that all information you provide is accurate and truthful. We reserve the right to request verification of your age or identity at any time and to suspend or terminate accounts that do not meet eligibility requirements.

3. Description of the Platform

We built NestEazy to make renting in New Brunswick safer and more trustworthy for everyone. We verify the identity of both tenants and landlords, and we work hard to keep scams and bad actors off the platform. No website can promise that every person or listing is perfect. So please still use your own good judgment. Ask questions and check things out before you commit to anything or send any money. We are here to help both sides connect with confidence, not to take part in the deal itself.

When you join NestEazy, you agree to be honest. That means giving true and accurate information about yourself, your listing, and your situation, whether you are a tenant, a roommate, or a landlord. Verification and honesty are what keep this community trustworthy, and we all share that responsibility. If someone provides false or misleading information, we may suspend or remove their account.

In plain legal terms, NestEazy is a neutral venue. We are not a party to any rental agreement, lease, sublease, application, screening, viewing, payment, or other transaction between users. We take no part in the deal itself. Any agreement you enter into is solely between you and the other person, not with NestEazy. Our tools, such as identity verification, trust scores, and optional tenant screening, are there to help you decide. They are never a guarantee, endorsement, or recommendation of any user, listing, or property. You remain responsible for your own due diligence before you enter into any agreement, send any money, or share sensitive information.

NestEazy is a technology platform that connects tenants, landlords, and people seeking roommates. We provide tools for discovering rental properties, listing properties for rent, and submitting rental applications. We also provide tools for uploading and sharing documents, communicating between parties, coordinating roommate groups, facilitating tenant screening, and verifying user identities.

NESTEAZY IS NOT A LANDLORD, TENANT, PROPERTY MANAGER, REAL ESTATE BROKER, CREDIT REPORTING AGENCY, SCREENING PROVIDER, OR PARTY TO ANY RENTAL OR LEASE AGREEMENT. We do not own, manage, inspect, or control any properties listed on the Platform. We do not broker, lease, or sublease any property. We do not guarantee the accuracy of any listing, the conduct of any user, or the outcome of any rental transaction. All rental agreements, roommate arrangements, and related transactions are solely between the parties involved. NestEazy has no affiliation with any property listed on the Platform or any landlord, tenant, or other person who may use the Platform.

4. Account Registration and Security

To use most features of the Platform, you must create an account. You agree to provide true, accurate, current, and complete information during registration and to update your information as necessary to keep it accurate. If any information you provide is false, inaccurate, outdated, or incomplete, NestEazy may suspend or terminate your account without notice.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at admin@nesteazy.ca if you become aware of any unauthorized use. NestEazy is not liable for any loss or damage arising from unauthorized access to your account.

Each user may maintain only one account. User accounts may not be sublicensed, transferred, sold, or assigned to any third party. Any attempt to do so is null and void and constitutes a material breach of these Terms.

5. User Roles and Responsibilities

Users register as either a tenant or a landlord. Tenants can browse listings, express interest in properties, submit rental applications, upload documents, join roommate groups, and communicate with landlords. Landlords can create and manage property listings, review applications and tenant profiles, request tenant screenings, and communicate with prospective tenants. Misrepresenting your role or using the Platform for purposes inconsistent with your selected role is prohibited.

6. Identity Verification

Keeping NestEazy safe and scam-free starts with knowing that people are real. That is why getting started asks you to verify your identity. This may include submitting a government-issued ID and completing a quick liveness check. You agree to provide genuine and unaltered identification. Submitting fraudulent, forged, stolen, or altered identity documents is a serious violation of these Terms and may be reported to law enforcement. We reserve the right to restrict, suspend, or permanently terminate accounts that fail identity verification or that exceed the maximum number of permitted verification attempts.

NestEazy does not guarantee the accuracy of any identity verification and does not warrant that verification will identify past misconduct or prevent future misconduct by any user. Verification is a supplementary trust measure, not a guarantee of any user’s character, intent, or reliability. A verified badge or status is not an endorsement, certification, or recommendation of any user, listing, or property by NestEazy. A verified listing is not a guarantee that the listing is legitimate.

7. Listings

By creating a listing on the Platform, you represent and warrant that: (a) the property is a residential property available for rent; (b) you are the legal owner of the property or are duly authorized to advertise it for rent; (c) you have the legal right to lease the property on the stated terms; (d) you are willing to lease the property at the stated price and terms; (e) you will not advertise more than one property in a single listing; (f) you will remove or update the listing within 72 hours once the property is leased or no longer available; (g) all information in the listing, including descriptions, amenities, pricing, and availability, is truthful, accurate, and complete; (h) all photos and media depict the actual property being offered and accurately represent its current condition; (i) photos will only depict the property and will not include misleading images, stock photos, or images of other properties; (j) the property complies with all applicable laws, building codes, fire codes, and health and safety standards; and (k) you will comply with all applicable fair housing and human rights legislation.

NestEazy reserves the right to monitor, review, refuse to publish, remove, delete, move, or edit any listing at any time, without notice and without liability. NestEazy has not verified, checked, inspected, or otherwise screened any listing or property on the Platform. Listings that remain inactive for an extended period may be automatically removed. Tenants are solely responsible for independently verifying all listing details, inspecting the property, and satisfying themselves as to the property’s condition, legality, and suitability before entering into any rental agreement.

8. Fraudulent Listings

You agree not to create any listing that contains false, fraudulent, misleading, or deceptive content, including but not limited to false property locations, fabricated descriptions, misleading photos, inaccurate pricing, or false contact information. If NestEazy determines, in its sole discretion, that a listing contains fraudulent content, the listing will be immediately removed, the associated account will be permanently terminated, and NestEazy reserves the right to pursue all available legal remedies.

9. Recommendations and Matching

The Platform uses a proprietary matching system to recommend rental listings, roommate groups, and other content that may be relevant to you based on your preferences and activity. We may alter, adjust, or update the algorithms and methods that affect your experience on the Platform at any time without notice. We may also limit the visibility of any profile, listing, or content without notice. NestEazy does not guarantee the compatibility, suitability, or quality of any recommendation and makes no representations regarding the suitability, behavioral characteristics, or creditworthiness of any user.

10. Rental Applications and Documents

Tenants may submit rental applications and upload supporting documents through the Platform. By submitting a rental application or document, you represent that all information is accurate and complete to the best of your knowledge. Providing false information may result in account suspension or termination and may constitute a violation of applicable law. Any misrepresentation in a rental application constitutes valid grounds for rejection of the application.

Landlords who receive rental applications or documents through the Platform agree to: (a) handle all personal information in accordance with applicable privacy laws, including PIPEDA; (b) use the information solely for the purpose of evaluating the tenancy; (c) not disclose the information to unauthorized third parties; and (d) securely dispose of the information when it is no longer needed for its intended purpose.

NestEazy does not verify the accuracy of any information contained in rental applications or uploaded documents and is not responsible for any decisions made based on such information.

11. Tenant Screening

The Platform facilitates tenant screening through SingleKey, a third-party screening provider. Screening may include credit, background, and reference checks. Screening is always optional and requires the explicit consent of the tenant. The cost of a screening is paid by the landlord. By consenting to a screening, you authorize the screening provider to access your credit information and other relevant records.

Screening results, including scores and recommendations, are provided by the third-party provider. NestEazy does not independently verify or guarantee the accuracy or completeness of any screening report. Screening reports should not be the sole basis for any rental decision. NestEazy does not collect, transmit, or store your Social Insurance Number (SIN) at any point.

NestEazy is not a credit reporting agency and does not conduct screening checks itself. The Platform solely facilitates access to screening services provided by third-party reporting agencies.

12. Trust and Verification Scores

NestEazy Verify gives each applicant a simple trust score out of 100 and a letter grade from A to F. It is based on publicly available information, so a landlord gets a quick, fair read at a glance. To protect privacy, a landlord only ever sees the overall score, grade, and a short summary. They never see the individual details. It is one more way we help both sides rent with a bit more confidence. These scores are a supplementary tool only and should not be the sole basis for any rental decision. NestEazy does not guarantee the accuracy or completeness of public records data and is not responsible for any decisions made based on these results.

13. Roommate Groups

The Platform allows users to create and join roommate groups to find compatible people to live with. Group owners set preferences and manage membership. NestEazy does not verify compatibility between group members, does not inspect any accommodation, and does not vet or verify the identity or character of group members beyond identity verification. NestEazy is not responsible for any disputes, disagreements, safety concerns, financial losses, or issues that arise between roommates. All roommate arrangements are solely between the individuals involved. NestEazy strongly recommends meeting prospective roommates in person and inspecting any accommodation before committing to any arrangement.

14. Messaging and Communications

The Platform provides messaging features for users to communicate. You acknowledge and agree that NestEazy may access, read, review, and permanently store messages, content, and communications sent through the Platform for the purposes of: (a) operating and improving the Platform; (b) protecting the safety and security of users; (c) detecting and preventing fraud, abuse, and violations of these Terms; (d) cooperating with law enforcement investigations; and (e) resolving disputes. NestEazy reserves the right to block or refuse delivery of any message, and to use message content as the basis for removing content, terminating accounts, or reporting activity to law enforcement authorities.

NestEazy is not responsible for any money transfers, payments, deposits, or financial transactions between users, whether conducted through the Platform or by any other means. We strongly recommend conducting all financial transactions through secure, traceable methods.

15. Payments

Certain features require payment. All payments are processed through a PCI-compliant third-party payment processor. NestEazy does not store your full payment credentials. All prices are in Canadian Dollars (CAD). Payments for screening reports are final and non-refundable once the screening process has been initiated, except where required by applicable law. Service credits, if purchased, are valid for one year from the date of purchase. They have no monetary value, cannot be redeemed for cash, and are non-refundable after expiry.

16. User Content

You may upload, post, or transmit content through the Platform, including but not limited to photos, videos, listing descriptions, rental applications, documents, messages, reviews, comments, and profile information (collectively, “User Content”). You are solely responsible for all User Content you submit and for ensuring it complies with these Terms and all applicable laws.

You retain ownership of your User Content. By posting User Content, you grant NestEazy a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, transferable license to use, reproduce, modify, adapt, display, distribute, create derivative works from, and otherwise exploit your User Content in connection with operating, improving, and promoting the Platform, including on affiliated or partner platforms and in marketing materials. This license survives deletion of your User Content or account to the extent the content has been shared with other users, cached, archived, or is required for legal compliance.

You represent and warrant that: (a) you own or have the necessary rights, licenses, and consents to all User Content you post; (b) you have the consent of each identifiable person appearing in your User Content; (c) your User Content does not infringe the intellectual property, privacy, publicity, or other rights of any third party; (d) your User Content does not contain false, misleading, defamatory, obscene, threatening, discriminatory, or unlawful material; and (e) your User Content complies with all applicable laws and regulations. You irrevocably waive any moral rights you may have in your User Content to the extent permitted by applicable law.

NestEazy does not pre screen, monitor, verify, or endorse any User Content. However, we reserve the right to review, edit, modify, block, remove, or delete any User Content at any time, without notice and without liability, for any reason, including content that in our sole judgment violates these Terms, is harmful, objectionable, inaccurate, or otherwise inappropriate.

17. Prohibited Conduct

You agree not to, and will not assist, encourage, or enable others to:

• Create fake, duplicated, or misleading listings or profiles
• Provide false, inaccurate, outdated, or incomplete information in any listing, profile, application, document, or communication
• Post photos or media that do not accurately depict the actual property or that include misleading, stock, or fabricated images
• Impersonate any person or entity, or use another user’s account or identity
• Use the Platform to harass, threaten, stalk, intimidate, abuse, or defame any person
• Victimize, degrade, or intimidate any person on the basis of race, colour, national origin, religion, gender, sexual orientation, gender identity, age, disability, marital status, family status, or social condition
• Engage in housing discrimination in violation of the New Brunswick Human Rights Act or any other applicable human rights or fair housing legislation
• Use personal information obtained through the Platform for any purpose other than evaluating a rental tenancy or roommate arrangement
• Use information from the Platform to harass, abuse, or harm another person
• Send spam, unsolicited commercial messages, chain letters, phishing messages, or any form of unauthorized solicitation
• Post content that is obscene, pornographic, violent, hateful, or promotes illegal activity
• Transmit viruses, trojans, worms, malware, or any code designed to disrupt, damage, or limit the functionality of any software, hardware, or telecommunications equipment
• Scrape, crawl, spider, index, data mine, or use any robot, automated device, offline reader, or retrieval application to access, collect, copy, store, reorganize, or manipulate data from the Platform
• Reverse engineer, decompile, disassemble, modify, adapt, translate, or attempt to derive the source code of any part of the Platform
• Frame, mirror, or replicate any part of the Platform on another website or application without our prior written consent
• Circumvent, disable, or interfere with any security features, rate limits, access controls, or technical measures of the Platform
• Interfere with or disrupt the Platform, its servers, networks, or infrastructure, or cause the Platform to be impaired in its functionality
• Attempt to gain unauthorized access to any part of the Platform, other user accounts, computer systems, or networks connected to the Platform
• Use the Platform for any purpose that is unlawful or prohibited by these Terms
• Collect personal information of other users without their knowledge and consent
• Use screening results, verification scores, or personal information obtained through the Platform to create a competitive product or service, or for any commercial purpose other than evaluating a rental tenancy
• Create derivative works based on the Platform or use any part of the Platform to build a competitive offering
• Engage in any activity that adversely affects the ability of other users to use the Platform
• Encourage or facilitate any of the above prohibited activities

Violation of any of the above may result in immediate and permanent account termination, removal of all content and listings, forfeiture of any paid services or credits, reporting to law enforcement authorities, and pursuit of all available legal remedies including injunctive relief and damages.

18. Intellectual Property

All design, text, graphics, layout, data, software, algorithms, branding, logos, trademarks, trade names, service marks, and all original content created by NestEazy are the exclusive property of NestEazy Inc. and are protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not copy, reproduce, modify, republish, upload, post, transmit, distribute, sell, sublicense, commercially exploit, adapt, or create derivative works based on any part of the Platform without our prior written consent.

19. Third Party Services

The Platform integrates with third-party services to provide certain features. These include identity verification, tenant screening, payment processing, messaging, notifications, and file storage. Each third-party provider operates under their own terms of service and privacy policies, and you agree to their terms when using features powered by those providers. NestEazy is not responsible for the availability, accuracy, reliability, or actions of any third-party service and shall not be liable for any loss or damage arising from your use of third-party services accessed through the Platform.

The Platform may contain links to third-party websites or services. NestEazy does not endorse, monitor, or assume any responsibility for the content, privacy policies, or practices of any third-party website or service.

20. Notifications and Communications

By creating an account, you consent to receive communications from NestEazy, including push notifications, in-app notifications, and emails related to your account activity, new features, and service updates. You may manage your notification preferences through the Platform settings. NestEazy will never ask you for your password, SIN, or sensitive financial information via email. If you receive such a request purporting to be from NestEazy, do not respond and contact us immediately.

21. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT.

Without limiting the foregoing, NestEazy does not warrant or represent that: (a) the Platform will be uninterrupted, timely, error free, or secure; (b) any information obtained through the Platform will be accurate, reliable, or complete; (c) defects in the Platform will be corrected; (d) you will find a rental property, tenant, or roommate; (e) you will receive any inquiries, applications, or responses; (f) you will obtain acceptable rent or lease your property; (g) any listing, profile, application, screening report, verification score, or other information on the Platform is accurate, complete, or current; or (h) any user of the Platform is who they claim to be.

NestEazy has not verified, checked, inspected, or otherwise screened any property, listing, user, or content on the Platform. NestEazy does not inspect any accommodation, does not vet any user beyond the identity verification process described in these Terms, and does not check the truth, accuracy, or completeness of any listing, profile, application, document, or communication. Users are solely responsible for their own assessments, inspections, and due diligence. NestEazy strongly recommends inspecting any property in person and meeting prospective landlords, tenants, or roommates before entering into any agreement.

Rental information, guides, tools, and the rental assistant are general information, not legal advice.

NestEazy offers articles, guides, calculators, document templates, and an automated rental assistant (“Nesty”) to help people understand renting in New Brunswick in plain language. This content is general information only. It is not legal, financial, tax, or other professional advice, does not create a lawyer-client or advisor relationship, and may not reflect the most recent changes in the law or your specific situation. Automated responses can be incomplete or incorrect. 22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NESTEAZY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY CONDUCT, CONTENT, OR COMMUNICATIONS OF ANY USER; (C) ANY LISTING, PROPERTY, RENTAL AGREEMENT, OR ROOMMATE ARRANGEMENT FACILITATED THROUGH THE PLATFORM; (D) ANY SCREENING REPORT, VERIFICATION SCORE, OR THIRD PARTY DATA; (E) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; (F) ANY FINANCIAL TRANSACTION BETWEEN USERS; (G) ANY IN-PERSON MEETING, PROPERTY VIEWING, OR INTERACTION WITH ANY USER OR OTHER PERSON CONTACTED THROUGH THE PLATFORM, INCLUDING ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, THEFT, OR LOSS ARISING FROM IT; OR (H) ANY OTHER MATTER RELATING TO THE PLATFORM.

IN NO EVENT SHALL NESTEAZY’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO NESTEAZY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

The foregoing limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, statute, or otherwise) and even if NestEazy has been advised of the possibility of such damages.

23. Indemnification

You agree to indemnify, defend, and hold harmless NestEazy Inc., its officers, directors, employees, agents, affiliates, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising out of or related to: (a) your use of or access to the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third party right; (e) your interactions with other users of the Platform, including any rental agreement, roommate arrangement, or financial transaction; (f) any false, misleading, or inaccurate information you provide; or (g) any claim by a third party arising from your acts or omissions in connection with the Platform. This indemnification obligation survives termination of your account and these Terms.

24. Account Termination

You may delete your account at any time through the Platform settings. Upon deletion, your profile, listings, and associated data will be removed in accordance with our Privacy Policy.

NestEazy reserves the right to suspend or permanently terminate your account at any time, with or without notice, with or without cause, and without liability. Grounds for termination include but are not limited to: (a) violation of these Terms; (b) fraudulent, deceptive, or misleading activity; (c) failure of identity verification; (d) conduct harmful to the Platform, its users, or NestEazy; (e) request by law enforcement or government authority; (f) extended inactivity; or (g) discontinuation of the Platform or any feature thereof.

Upon termination, your right to use the Platform immediately ceases. Any outstanding payment obligations, indemnification obligations, and all disclaimers and limitations of liability survive termination.

25. Dispute Resolution

If you have a dispute with NestEazy, you agree to first attempt to resolve it by contacting us at admin@nesteazy.ca. Both parties shall negotiate in good faith for a period of at least 30 days. If the dispute cannot be resolved informally, it shall be submitted to confidential, binding arbitration in Fredericton, New Brunswick, in accordance with the applicable rules of the ADR Institute of Canada. The arbitrator’s decision shall be final and binding. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

YOU AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. NO ARBITRATION OR CLAIM UNDER THESE TERMS SHALL BE JOINED TO ANY OTHER ARBITRATION OR CLAIM, INCLUDING ANY ARBITRATION OR CLAIM INVOLVING ANY OTHER USER OF THE PLATFORM. THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY CLAIMS TO BE ARBITRATED ON A CLASS ACTION OR REPRESENTATIVE BASIS.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or data security. For disputes between landlords and tenants regarding rental matters such as security deposits, evictions, or lease terms, the appropriate venue is the New Brunswick Tenant and Landlord Relations Office. NestEazy is not a party to such disputes and will not involve itself in disputes between users.

26. Disputes Between Users and Release

Because NestEazy is only a venue that connects people, the entire interaction between users is solely between those users. This includes any listing, viewing, application, screening, lease or rental agreement, roommate arrangement, payment, deposit, communication, meeting, or transaction. NestEazy is not involved in it, does not supervise it, and is not responsible or liable for it in any way. You agree that any dispute, claim, demand, loss, injury, or damage that arises between you and any other user is solely between you and that other user. This applies to anything arising out of any rental, lease, application, screening result, payment, deposit, communication, meeting, viewing, or transaction connected to the Platform. You will pursue it directly with that user and not with NestEazy.

To the fullest extent permitted by applicable law, you hereby release, waive, and forever discharge NestEazy Inc., its officers, directors, employees, agents, affiliates, licensors, and suppliers from any and all claims, demands, causes of action, disputes, liabilities, losses, damages (whether direct, indirect, incidental, special, consequential, or punitive), costs, and expenses of every kind, known and unknown, that arise out of, relate to, or are connected with any interaction or transaction with any other user, any other person you meet or contact through the Platform, or any rental, lease, roommate, payment, deposit, or property matter facilitated through the Platform.

27. Assumption of Risk

Using a marketplace to find housing and roommates can involve meeting people you do not know, visiting properties, and entering into significant financial and living arrangements. You understand and agree that you do all of this at your own risk.

You are solely responsible for taking reasonable precautions in all interactions with other users and with anyone you meet or communicate with through the Platform, particularly when meeting in person, sharing personal or financial information, viewing or entering a property, handing over money or a deposit, or signing any agreement. You assume all risk arising from these activities, including the risk of property damage, financial loss, theft, fraud, misrepresentation, personal injury, or death. To the fullest extent permitted by applicable law, NestEazy is not responsible or liable for the acts, conduct, or omissions of any user or any other person you meet or interact with through the Platform, whether online or in person. Any safety guidance we provide is for your convenience only and does not transfer any responsibility for your safety to NestEazy.

28. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to the arbitration clause above, you agree to submit to the exclusive jurisdiction of the courts of the Province of New Brunswick for any legal proceedings arising out of these Terms. All causes of action arising out of or related to these Terms or the Platform must be filed within one (1) year after the cause of action arises or be permanently barred.

29. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Platform or by other means. Your continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Platform and delete your account.

30. General Provisions

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

No Waiver: The failure of NestEazy to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and NestEazy.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and NestEazy regarding your use of the Platform and supersede all prior agreements and understandings.

Assignment: NestEazy may assign its rights and obligations under these Terms without restriction. You may not assign your rights or obligations without our prior written consent.

Survival: All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

Force Majeure: NestEazy is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, power or internet failures, outages of third-party providers, labour disputes, government action, or other force majeure events.
